These Terms of Service ("Terms") govern your use of the GTA Labs website (gtalabs.com) and any consulting services provided by GTA Labs ("we," "us," or "our"), based in Toronto, Ontario, Canada.

Services

GTA Labs provides AI consulting, development, and advisory services. The specific scope, deliverables, and timeline for each engagement are defined in separate Statements of Work (SOWs), proposals, or contracts agreed upon by both parties.

Engagement Terms

Each consulting engagement is governed by the specific terms outlined in the applicable SOW or contract. These Terms provide general conditions that apply unless superseded by a specific agreement.

Intellectual Property

  • Client deliverables: Unless otherwise agreed in writing, the client owns all deliverables created specifically for them upon full payment.
  • Pre-existing IP: GTA Labs retains all rights to pre-existing intellectual property, tools, frameworks, and methodologies used in the course of providing services.
  • General knowledge: GTA Labs retains the right to use general knowledge, skills, and experience gained during engagements.

Payment Terms

Payment terms, rates, and schedules are defined in individual agreements. Unless otherwise specified, invoices are due within 30 days of issuance.

Confidentiality

Both parties agree to treat confidential information shared during an engagement with reasonable care. Confidential information excludes publicly available information or information independently developed. Specific confidentiality terms may be outlined in a separate NDA or within the applicable SOW.

Limitation of Liability

To the maximum extent permitted by law, GTA Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to our services. Our total liability for any claim shall not exceed the fees paid by the client for the specific engagement giving rise to the claim.

Third-Party Services

Our work may involve integration with or use of third-party services, APIs, and platforms. We do not warrant the availability, accuracy, or reliability of any third-party service. Clients are responsible for their own agreements with third-party providers.

Website Use

The content on gtalabs.com is provided for informational purposes only. We reserve the right to modify or discontinue any aspect of the website at any time without notice.

Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ontario.

Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated revision date.
